Constitución y Leyes

Article 1 – Name

The Pan American Association of Oto-Rhino-Laryngology,  Head and Neck Surgery is hereby established as an organization composed of interested specialists who are members of similar organizations in the Americas.

Artículo 1 - Nombre

La Asociación Panamericana de Otorrinolaringología y Cirugía de Cabeza y Cuello es establecida como una organización compuesta por especialistas interesados, quienes son miembros de organizaciones similares en las Américas

Article 2 – Purpose

The purpose of this Association shall be:

a)     To promote the progress of Oto-rhino-laryngology and Head and Neck Surgery

b)     To assist in the union and cultural exchange among the American countries, and

c)     To arrange Pan American Congresses of these specialties every two years.

Artículo 2 - Propósito 

El Propósito de esta Asociación debe ser:

a) Promover mediante todos los medios en su poder el progreso y actualización de la Otorrinolaringología y Cirugía de Cabeza y Cuello

b)    Asistir el intercambio cultural y la unión entre los países de América

c)     Organizar Congresos Panamericanos de éstas especialidades cada dos años.

Article 3 - Members

There shall be four classes of members:

a)    Active – all otorhinolaryngologists, members of national societies and in case there are none, those whose application has been accepted by the Executive Committee and approved by the General Asembly.

b)  Corresponding – Otorhinolaryngologists, not belonging to the American nations, these may be elected by the Executive Committee.

c)    Associate – non-otolaryngology physicians or scientists of equal stature to members from related specialties.

d)    Emeritus –active members in good standing, who paid  annual dues for at least 30 years, who are seventy years or older, who have retired from the practice of medicine and request in writing to continue to be a member in the Pan American Association of Oto-Rhino-Laryngology and Head and Neck Surgery with a waiver of payment of annual dues.

Artículo 3 - Miembros

Hay  cuatro clases de miembros:

A) Activo.-  Otorrinolaringólogos,  miembros de Sociedades nacionales y en caso de que no exista ninguna, todos aquellos cuya aplicación ha sido aceptada por el Comité Ejecutivo y aprobados por la Asamblea General .

b) Corresponsales.- Otorrinolaringólogos que pesar de no ser de alguna de las naciones de América, éstos pueden ser electos por el Comité Ejecutivo.

c) Asociados.- médicos o científicos no Otorrinolaringólogos  con especialidades relacionadas y educación universitaria similar.

d) Eméritos.- Miembros activos, quienes son mayores de setenta años, que pagaron las anualidades de la Asociacion por 30 años, retirados de la práctica médica y que han solicitado por escrito, continuar siendo miembros de la Asociación Panamericana sin pago de cuotas anuales.

Article 4

The Association shall be composed of:

a)     The meeting of its members constituted into General Assembly, which shall take place at the periodic Congresses.

b)     The Governing Council

c)      The Executive and Finance Committee, which shall have charge of all matters of procedure and organization.

Artículo 4

La Asociación debe ser compuesta por:

a)     La junta de los miembros constituidos en la Asamblea General, la cual se llevará acabo durante los Congresos Panamericanos.

b)     El Consejo Gobernante

c)    El Comité Ejecutivo y Financiero, el cual está encargado de todos los asuntos de procedimiento y organización.

Article 5

a)     The Governing Council shall be composed of two members for each country, appointed by the pertinent organization (society) of each country, the immediate Past-President and  the Executive Council of the Association. shall be ex-officio members of the Governing Council.  This Governing Council shall represent the General Assembly during its recess and may adopt any resolution which does not alter these By-Laws, which can only be amended only by a majority vote of the present members during the General Assembly.

b)      The Executive Committee shall be composed of one President, a President-elect, three Vice Presidents, a Secretary-General, a Secretary, a Secretary-General-Elect, a Secretary of Information ( approved in Quito 2008) a Treasurer General, a Treasurer and the Immediate Past-President, All of the officers shall be elected by the General Assembly for a term of two years, and the President and Vice-Presidents cannot be re-elected, the General Secretary can be re-elected to another term to a maximum of four years .  The Treasurer-General must live in the United States of America.  A Secretary General-elect and a Treasurer General-elect, when elected, will succeed the respective officers and their presence will assure a smooth transition with the association.  The officers shall represent  as much as possible, the three sectors of America: 1) The United States and Canada; 2) Mexico, Central American and the Islands of the Caribbean; 3) the countries of South America.  (as amended November, 1994)

The President shall be legal representative of the Association and shall represent it in all its acts.

Artículo 5

a) El Consejo Gobernante debe de estar compuesto por dos miembros de cada país, elegido por la organización (sociedad) pertinente de cada país, El  Ex-Presidente Inmediato de la Asociación, y  el Comité Ejecutivo son  ex-officio miembros del Consejo Gobernante. Este Consejo Gobernante, debe representar a la Asamblea General durante su receso y puede adoptar cualquier resolución mientras no altere estas Reglas y Regulaciones de Asociacion, las cuales solo pueden modificadas por la mayoria de los miembros presentes en la Asamblea General,

b) El Comité Ejecutivo esta compuesto por un Presidente, un Presidente –electo, tres Vice-presidentes, un Secretario General, un Secretario, un Secretario General Electo, un Secretario de Informatica (aprobado en Quito 2008) nun Tesorero General, un Tesorero y el expresidente inmediato.   Todos de los oficiales deben ser electos por la Asamblea General por un termino de dos años, y el Presidente y Vice-presidentes no pueden ser reelectos. El Secretario General puede ser reelecto a un periodo adicional con un máximo de cuatro años. El Tesorero General debe de vivir en los Estados Unidos de América. El Secretario General electo y el Tesorero General electo, una vez elegidos deben asistir a las reuniones de trabajo, de tal manera que se asegure una transición sin complicaciones en la Asociación. Los oficiales deben de representar los tres sectores de América. 1)  Estados Unidos y Canadá; 2) México, Centro América y las islas del Caribe; 3) los países de América del Sur. (como aprobado en Noviembre, 1994)

El Presidente debe ser el representante legal de la Asociación y debe representarla en todos los actos.

Article 6 – Meetings

A General Assembly shall be held during the third day of each Congress, to consider the various motions which may be presented, to elect the new officers of the Association, and to designate the President, the place and date of the next Congress.  It shall be the privilege of the President of each Congress to designate the other members of the local Organizing Committee. The Governing Council should meet on the second day of the congress . The Executive Committee should meet on the first day of the congress

Artículo 6 - Juntas

La Asamblea General debe ser realizada durante el tercer día de cada Congreso, para considerar las distintas mociones que presentadas, para elegir los nuevos oficiales de la Asociación y para nombrar al Presidente, la fecha, y el lugar del siguiente Congreso. Debe ser privilegio del presidente de cada Congreso, designar a los otros miembros del Comité Organizador local.

El Consejo Gobernante se reune el segundo día del congreso. El Comité Ejecutivo se reune el primer día del congreso

Article 7

The Societies of Oto-Rhino-Laryngology of each country, shall designate for each Congress, the Chairman of the Delegation and its members

Artículo 7 

Las Sociedades de Otorrinolaringología de cada país, deben elegir para cada Congreso, de un Director (Chairman) de la Delegación y sus miembros.

Article 8

Official bids from countries interested in sponsoring a Congress, shall be supported by a  written application, appropriate authorization from governmental authorities, O-R-L Societies and local Panamerican Chapters.  The President of each Congress should appoint the other members of the local Organizing Committee.

Artículo 8 

Ofertas oficiales de los países interesados en  llevar a cabo el Congreso Panamericano, deben estar soportadas por una aplicación escrita , la autorización escrita de las autoridades gubernamentales, Sociedades de O-R-L y los Capitulos locales de la Panamericana. El Presidente de cada Congreso debe nombrar el Comité Organizador Local

Article 9

If the local Organizing Committee, which must organize the next Congress, should not be able to do so, through force majeure or through some other cause, the Governing Council, by email may select the new President, the place and date of the Congress, with the approval of majority of the total votes.

Artículo 9 

Si el Comité Organizador local, el cual debe de organizar el siguiente Congreso, no lo pudiese realizar, debido a causas de fuerza mayor, el Concejo Gobernante por email debe seleccionar al nuevo Presidente, el lugar y la fecha para el Congreso, con la aprobación de la mayoría del total de votos.

Article 10 – Languages

The official languages of the Congress shall be Spanish, English, and Portuguese.  Organizing Committee shall make every effort to arrange for simultaneous translation during presentation of the papers.

Artículo 10 - Lenguajes

Los lenguajes  oficiales del Congreso deben ser Español, Ingles, y Portugues. El Comité Organizador debe de tratar de arreglar traducciones simultaneas durante las presentaciones de los trabajos.

Article 11 – Dues

The financing shall be done by dues payments of thirty dollars ($30.00) per member every two years)

Artículo 11 - Cuotas

El Financiamiento de la Asociación  se realiza por medio del pago de las cuotas de treinta dólares ($30) por miembro cada dos años.

Article 12

Each Congress shall have its own financing.  The local Organizing Committee of said Congress shall provide the necessary funds for its own arrangements and for the publication of its proceedings in the Revista of the Pan American Association.

Artículo 12

Cada Congreso debe financiarse por si sólo. El Comité Organizador Local de dicho congreso debe de proveer los fondos necesarios para realización su propio arreglo y la publicación de sus procedimientos en la Revista de la Asociación Panamericana.

Article 13

All the papers and videos presented at a Pan American Congress shall become the property of the Pan American Association, shall have the privilege of publishing them in its web-site or a CD DVD. Nevertheless, an author may request permission to publish his own paper in another scientific journal.  .

Artículo 13

Todos los trabajos y videos presentados en el Congreso Panamericano se convertirán en propiedad de la Asociación Panamericana, quien tendrá el derecho  de publicarlos , en su página web.o en CD- DVD Un autor puede pedir un permiso a la Asociación para publicar su trabajo en alguna otra revista científica. Publicaciones de los trabajos  del Congreso en un CD o DVD  debe ser a discreción del Comité Organizador

Article 14 - Representatives

The Executive Council shall appoint one or more Representatives in each country, among those present at the meeting of the General Asssembly, for a two year period, to improve communications, as liaison officers.  These Representatives shall be charged with specific duties, such as: close communication with the General Secretary and the President, the dissemination of Pan American information and educational materials, collection of local Society member list (names, addresses, emails, etc. on Excel spreadsheet),  and the procurement of new members.

The President of the Association can remove representatives that fail to communicate in a timely manner (approved in Quito 2008)

Artículo 14- Representantes

El Consejo Ejecutivo debe nombrar a uno o varios representantes en cada país entre los miembros presentes durante la reunion de la Asamblea General , por  un periodo de dos años, para mejorar comunicación entre los miembros. Estos Representantes estarán encargados de actividades específicas, tales como: contactos constante con el Secretario General y el Presidente,  la diseminación de información de la Panamericana, procurar a los nuevos miembros.

El Presidente de la Asociación puede quitar un representante que no conteste comunicaciones  a tiempo ( Aprobado en Quito 2008)

Article 15 – Dissolution

Upon the dissolution of the corporation, the Executive Committee shall, after paying or making provisions for the payment of all of the liabilities of the corporation, devise a plan that will equitably distribute all assets of the corporation to organizations operated exclusively for charitable, education, religious or scientific purposes as shall at the time qualify as an organization or organizations described in Section 501 (c) (3) of the Internal Revenue Code if 1954, as the Executive Committee  shall determine.

Artículo 15 – Disolución

Acerca de la disolución de la corporación, el Comité Ejecutivo deberá, después de haber pagado las deudas de la corporación, realizar un plan el cual distribuya equitativamente todos los activos y ganancias de la corporación a organizaciones que operen programas de caridad, educación, religión o propósito científico y que en ese momento sean organizaciones descritas en la sección 501 (c) (3) del Codigo de Recaudación Interna de los Estados Unidos (IRS)  de 1954

Article 16 – Amendments

The By-laws may only be amended by the General Assembly, by proposals presented up to twenty-four hours prior to the meeting.  The amendment, in order to be approved, shall require two-thirds of the votes present.

Artículo 16- Modificaciones a este Reglamento (Constitución y Leyes)

Modificaciones a estas reglas solo pueden ser realizadas por la Asamblea General por medio de mociones presentadas veinticuatro horas antes de la junta de la Asamblea General. Las modificaciones para ser aprobadas requieren de dos tercios de los votos de los miembros presentes.
